Terms and conditions

Version: 1.2 · Published: 4 November 2026 · In force from 1 December 2026. Until then, the provisions of the service contract apply.

1. Provider and definitions

1.1. The Provider: R-Szoft Informatikai Korlátolt Felelősségű Társaság (R-Szoft Kft.), registered seat: 1224 Budapest, XIII. utca 45., place of business and postal address: 1095 Budapest, Soroksári út 48. (Hungária Malomudvar, building 8, 2nd floor), company registration number: 01-09-407280 (Court of Registration of the Budapest-Capital Regional Court, Fővárosi Törvényszék Cégbírósága), tax number: 26615934-2-43, EU VAT number: HU26615934, email: , telephone: +36 30 181 2087 (Monday–Friday, 9:00–17:00 CET), websites: https://smartaiassist.hu and https://smartaiassist.eu.

1.2. Name of the service: SmartAIAssist (formerly SmartAIChat). The Website: smartaiassist.hu and smartaiassist.eu (together, the Website).

1.3. The User: the business that orders and uses the Service from the Provider. These Terms and conditions apply exclusively to business-to-business (B2B) relationships. By placing an order, the User declares that it is acting for purposes relating to its trade, business or profession. Consumers may not use the Service; if the person placing the order is a consumer, no contract is concluded and the Provider rejects the order.

1.4. In the course of the legal relationship, each Party qualifies as a controller in respect of its own customer and partner relationships; in operating the Service, the Provider acts as a processor on behalf of the customer.

1.5. Partner: an independent sales and implementation partner under contract with the Provider, for example in Romania. Where the order is placed through a Partner, the contract is still concluded between the Provider and the User under these Terms and conditions and, unless otherwise agreed in writing, the Provider invoices the fees. The Partner assists the Provider in onboarding and support; the Provider is liable for the Partner’s conduct as if it were its own. The Partner is not authorised to make commitments on behalf of the Provider that depart from these Terms and conditions.

2. Scope of the service

2.1. The Service consists of the following products, available by subscription through the Website:

  • Chat AI: an AI assistant placed on a website that answers visitors’ questions from the business’s knowledge base.
  • Knowledge AI: an internal question-and-answer tool for employees, based on the business’s own documents, with source citations.
  • Email AI: sorting of incoming emails and preparation of draft replies; the final reply is approved and sent by the User.
  • Web AI: SEO, GEO/AEO and accessibility audit at the User’s request, content production (blog article, product description, social media post) and image processing, within the monthly allowance of the package.
  • Video AI: creation of short marketing and advertising videos and ad images with artificial intelligence, from a script provided or approved by the User, with a library voice and avatar.
  • Social AI: management of the User’s Facebook Page: suggested posts and comment replies, publication with the User’s approval by default, flagging of unsolicited or offensive comments for hiding, processing of the Page’s posts and comments and their interaction data (number of reactions and comments).

2.2. The assistants marked “Coming soon” (as marked on the price list applicable to the User; on smartaiassist.hu currently Phone AI) and the self-service packages (Mini, Free, Build it yourself) do not form part of the Service under these Terms and conditions; the Provider will announce their availability and conditions when they are introduced.

2.3. The Provider continuously develops the functions of the Service and informs the User of any extension or restriction by email or on the Website. Such a change shall not constitute an amendment of these Terms and conditions. The discontinuation of the Service or of a function is governed by clause 12.2.

2.4. IT infrastructure of the Service: the product data are stored and processed on servers of Amazon Web Services EMEA SARL, in the AWS eu-central-1 region (Frankfurt); the Website is operated through the services of Cloudflare, Inc. (101 Townsend St, San Francisco, CA 94107, USA). The basis for transfers outside the EEA is set out in the “Transfers outside the EEA” clause of the Privacy policy.

2.5. Video AI and Social AI can currently be ordered by Users with a registered seat in Hungary, under the HUF price list; for other Users, the Provider will announce availability when they are introduced.

2.6. Video AI – special terms. (a) Video AI videos, images and audio recordings are created with artificial intelligence from a script and images provided or approved by the User. The User is responsible for the script, the uploaded images and the use of the finished content, including the rights of the persons appearing in them to their image and recorded voice (Section 2:48 of the Hungarian Civil Code, Ptk.), as well as trade marks and copyright works. (b) The voice heard and the avatar shown in the video are library voices and avatars used under licence by the Provider’s subcontractors. The User may use the finished video and image for its own marketing purposes, but may not copy the voice or the avatar separately or clone them in another system. The Provider does not warrant that the generated content is protected by copyright or that no other user receives similar content. (c) The Provider marks the videos with a visible “Made with AI” label from the first frame and the generated files with machine-readable content credentials metadata; the User may not remove the visible label or the metadata. The visible label and the metadata help the User to fulfil its disclosure obligation under Article 50(4) of the AI Act. The User, as deployer, is responsible for the disclosure; depending on how the content is published, further information may be needed, in particular where the User edits the video, inserts it into other material or uses it without the image, as audio only. (d) The Provider does not create videos from a script that is manifestly unlawful, misleading or features a real person without their consent. (e) The number of videos, the video length and the ad video and ad image allowance included in the package apply to the current month; unused allowance cannot be carried over.

2.7. Social AI – special terms. To use Social AI, the User grants the Provider access to its Facebook Page; the User warrants that it is an administrator of the Page and complies with Meta’s terms of use. (a) By default, Social AI operates in approval mode: suggested posts and comment replies are published with the User’s approval. (b) Where the package allows it, the User may switch on automatic replies for the comment categories it selects and, for text posts, automatic publication with 24 hours’ prior notice; posts containing images or video are never published without approval. Automatic mode can be switched back to approval mode in one step. (c) Social AI comment replies state, in the language of the reply, that they were created with artificial intelligence; the User may not remove this label. (d) Social AI flags unsolicited or offensive comments for hiding; the User decides on hiding, and hiding can be reversed. (e) The User is responsible for the published content, including in automatic mode. (f) A restriction or suspension by Meta or a change in the operation of the platform does not constitute a breach of contract by the Provider; in such a case, the Provider notifies the User without delay and, if Social AI cannot be used for more than 15 days, the User may terminate Social AI with immediate effect, and the Provider refunds any fee already paid for the period after termination. (g) The User may revoke the access at any time; the retention and deletion of data received from Facebook are governed by clauses 7.6 and 10.3 of the Data processing agreement.

3. Ordering and conclusion of the contract

3.1. Orders can be placed by a signed service contract, by email, through a Partner or – once introduced – using the order form on the Website. The order constitutes the User’s offer; the contract is concluded when the Provider confirms the order by email. The order, the confirmation and any individual written contract together form the service agreement; in case of any discrepancy, the individual written contract prevails.

3.2. When ordering, the User provides the official name, registered seat and tax number of the business it represents – for a business established in another EU Member State, also its EU VAT number – and the contact details of its contact person. The Provider verifies the EU VAT number in the VIES system. The User is responsible for the accuracy of the data provided.

3.3. Onboarding starts when the contract is concluded; the Service goes live after the first invoice has been paid.

3.4. The contract is concluded electronically, in writing. The Provider attaches to its confirmation the version of these Terms and conditions in force at the time of the order, in PDF format, so that the contract remains accessible afterwards.

3.5. The Provider confirms the order, or rejects it with reasons, within 72 hours at the latest, to the email address provided.

3.6. When ordering, the User separately and expressly accepts the following clauses of these Terms and conditions, which depart from customary practice: 2.6 (a), (b) and (e) (Video AI: responsibility for the script and the content used, exclusion of any warranty of copyright protection and uniqueness, no carry-over of the allowance), 2.7 (b), (e) and (f) (Social AI: automatic replies and publication, responsibility for published content, consequences of restrictions imposed by Meta), 4.4 (suspension of the Service in the event of late payment), 7.3 (automatic renewal), 7.4 (no termination for convenience during a fixed term), 7.8 (reimbursement of the discount on early termination), 12.2 (restriction and discontinuation of the Service), 15.2–15.6 (limitation of liability, shorter limitation period), 17.3 and 18.4 (Hungarian law and Hungarian courts) and 18.3 (unilateral amendment of these Terms and conditions). The Provider presents these clauses separately and in plain language during the order process, before acceptance. Acceptance is given as follows: for a signed service contract, by initialling or signing a separate clause listing them; for orders by email or through a Partner, by a reply email in which the User expressly accepts them; for the order form, by ticking a separate checkbox that is not pre-ticked. The Provider records the version of the accepted text and the time of acceptance, and repeats them in the order confirmation.

4. Fees and payment

4.1. The fees are set out on the Pricing page. The fees are determined by the price list applicable to the User’s registered seat: for a seat in Hungary, the HUF price list at smartaiassist.hu; for a seat in another Member State of the European Union, in the EEA or in Switzerland, the EUR price list at smartaiassist.eu; for a seat in any other country, the fees are set by an individual offer. The seat is established on the basis of the User’s tax number or, for EU businesses, its EU VAT number (VIES). The price list displayed on the Website according to the visitor’s location is for information only. Our services are for businesses only. Prices exclude VAT. EU businesses with a valid VAT number: reverse charge.

4.2. Payment method: bank transfer on the basis of an electronic invoice. Payment deadline: 5 calendar days from the date of the invoice. The invoice currency is the currency of the price list under clause 4.1 (HUF or EUR). Card payment is not currently available; we will give advance notice of its introduction.

4.3. The Provider issues the invoice for the first period on the day the contract is concluded, and the invoice for each subsequent period on the last day of that period.

4.4. In the event of late payment, the Provider may charge default interest under Section 6:155 of the Hungarian Civil Code (Ptk.) and a flat-rate recovery cost of EUR 40 under Hungarian Act IX of 2016. If payment is more than 15 days late, the Provider may, after prior notice by email, suspend the Service until the fee is paid.

4.5. The Provider reserves the right to change prices and gives notice of any change at least 15 days before it takes effect. The fee for a fixed-term contract does not change during the fixed term; the new price applies from renewal.

5. Billing unit, allowance and overage

5.1. The billing unit per product: answered question for Chat AI and Knowledge AI, processed email for Email AI, completed task for Web AI; clause 5.6 applies to Video AI and clause 5.7 to Social AI.

5.2. A maximum of 10 questions per conversation count towards the allowance.

5.3. The Provider sends a notification when 75%, 90% and 100% of the allowance has been used. A 10% grace margin is available above the allowance.

5.4. There are no overage fees: once the grace margin has been used, the widget switches to a polite contact form and the owner is notified; the customer never sees the word “allowance”.

5.5. The User may optionally purchase an add-on pack of 500 questions. The system switches to a higher tier automatically only if the User has enabled this in advance.

5.6. The billing unit for Video AI is the finished video and ad image; the monthly allowance is set out in the price list. Clauses 5.2–5.5 do not apply to Video AI: once the allowance is reached, no further videos are created in that month and no overage fee is charged; the User may upgrade to a higher tier (clause 7.6).

5.7. The billing unit and the monthly allowance for Social AI are set out in the price list or the individual offer; clause 4.5 applies to any change to them. Clauses 5.2–5.5 do not apply to Social AI: once the allowance is used up, Social AI creates nothing new in that month, and the User may continue to reply and publish on its Facebook Page itself; no overage fee is charged and unused allowance cannot be carried over.

6. Discounts

6.1. Multi-assistant discount: a joint subscription to several assistants receives a discount on the monthly fee, as set out in the price list applicable to the User (clause 4.1). On the smartaiassist.eu price list: 10% for two assistants and 20% for three or more.

6.2. Contract-term discount: 8% off the monthly fee for a 6-month contract and 15% for a 12-month contract. The reduction of the onboarding fee is set out in clause 8.1.

6.3. The multi-assistant discount and the contract-term discount may be combined: the multi-assistant discount is calculated on the monthly fee already reduced by the contract-term discount.

7. Term of the contract, renewal, termination, switching

7.1. The contract may be concluded for a monthly, 6-month or 12-month term.

7.2. The monthly contract renews from month to month; termination takes effect at the end of the full month following the notice.

7.3. A 6-month or 12-month contract may be terminated at expiry, with written notice (email is sufficient) given at least 30 days in advance; if the User gives no notice, the contract renews for the same term. We send a reminder at least 45 days before expiry, stating the notice deadline and the length and fee of the next term; we send a second reminder 7 days before the notice deadline (37 days before expiry).

7.4. There is no termination for convenience during a fixed term, except in the cases set out in clauses 7.7 (switching), 12.2 and 18.3. In the event of a material breach of contract, the contract may be terminated for cause once a cure period of 8 days has expired without the breach being remedied, or if payment is more than 15 days late.

7.5. On termination of the contract, the Service stops. The User’s data can be exported for 30 days after termination (clause 7.9); after that, and no later than 60 days after termination, the data are deleted (for search indexes and backups, clause 10.2 of the Data processing agreement applies) and the Parties settle accounts. Data that must be retained by law (for example invoices) are excepted. The User requests the export at ; the Provider sends a download link within 5 working days.

7.6. An upgrade to a higher tier takes effect immediately, with a pro rata difference; a downgrade to a lower tier takes effect from the first day of the following month.

7.7. Switching (Regulation (EU) 2023/2854, Data Act): the User may at any time, including during a fixed term, initiate the transfer of its data to another provider or to its own systems. Switching may be initiated with a notice period of no more than 2 months; this is followed by a transition period of 30 days, during which the Provider continues to provide the Service unchanged and assists with the transfer. If the transfer is technically not feasible within 30 days, the Provider informs the User with reasons, and the transition period is extended to a maximum of 7 months.

7.8. The contract terminates upon successful completion of the switch or, where the User only requests the erasure of its data, at the end of the notice period. Where a fixed-term contract ends early, the User reimburses the term discount received for the months elapsed until termination (clause 6.2; the difference between the monthly-contract fee and the discounted fee) and the onboarding fee that was waived; the Provider refunds any fee already paid for the period after termination. This is the settlement of early termination; no fee is charged for switching or for exporting the data. Example: for a 12-month contract with a 15% discount ending after the fifth month, the amount is 5 × 15% of the monthly fee plus the waived onboarding fee.

7.9. Exportable data: documents uploaded to the knowledge base, in their original format; the assistant’s settings (instructions, synonyms, handoff rules), in JSON format; conversations within the retention period and the leads handed over, in CSV or JSON format. Not exportable: the Provider’s software, models and trade secrets, and data relating to other Users.

7.10. The data can be retrieved for at least 30 days from the end of the transition period; after that, the Provider permanently erases them and notifies the User.

8. Onboarding

8.1. The fee for “Build it with us” onboarding and any reduction of it are set out in the price list applicable to the User (clause 4.1). On the smartaiassist.eu price list: €200 excl. VAT, €100 excl. VAT with a 6-month contract and free of charge with a 12-month contract; for Web AI €49 excl. VAT, free of charge with a 6-month or 12-month contract.

8.2. The Provider puts the Service live within two working days after the necessary access and company information have been provided and the joint setup has been completed, but not before the first invoice has been paid (clause 3.3).

8.3. If the delay is attributable to the Provider, the setup is not invoiced; with a 6-month or 12-month contract, one month is added.

8.4. The handover threshold for Chat AI and Knowledge AI: at least 8 of 10 test questions approved, 0 price errors or contact-detail errors, the handoff tested once, and the notification address set up. For the other products, handover requires a joint review of the settings and the User’s approval of the first completed output (reply draft, audit, video or reply suggestion).

9. AI disclosure (EU AI Act)

9.1. The assistants are artificial intelligence systems within the scope of Regulation (EU) 2024/1689 of the European Parliament and of the Council (AI Act). The Provider qualifies as the provider of the AI Assistant, and the User as the deployer.

9.2. The header and the first message of the AI Assistant clearly inform the End User that they are interacting with artificial intelligence (Article 50 of the AI Act). This is a built-in, default function.

9.3. The User may not remove, hide or disable the AI disclosure; breach of this obligation constitutes a material breach of contract.

9.4. The AI Assistant provides answers for information purposes only; on the basis of its output, no decision based solely on automated processing that produces legal effects concerning the End User is taken (Article 22 GDPR).

9.5. With regard to content generated by Video AI, the Provider is the provider and the User – when publishing the content – is the deployer; marking is governed by clause 2.6(c). The labelling of Social AI comment replies is governed by clause 2.7(c); in automatic mode, the User, as the deployer, is responsible for the choice of the categories switched on.

10. Data processing

In operating the Service, the Provider, acting as processor on behalf of the User as controller, processes visitor messages, contact details and knowledge base content. Conversations are retained for 90 days, the demo preview is deleted after 24 hours, and the data are deleted after the 30-day export period, no later than 60 days after the end of the contract (clause 7.5). We do not use conversations or the knowledge base for model training.

Video AI voice and video generation also takes place outside the EEA, in the United States, and Social AI also processes the data of the User’s Facebook Page; these are described in clauses 7.5 and 7.6 of the Data processing agreement.

The detailed data processing terms (DPA under Article 28 GDPR) are available on the Data processing agreement page. The legal bases of processing and the rights of data subjects are set out in the Privacy policy.

11. Use as a reference

11.1. The Provider is entitled to display the User’s company name and logo as a reference on the Website and in its sales materials. The User may object to this at any time by email; the Provider implements the objection within 15 days.

11.2. Results figures (for example conversion data, answer types) may be published only with the User’s separate written permission.

12. Availability and modification of the service

12.1. The Provider does not guarantee the continuous availability of the Service; it gives notice of maintenance on the Website.

12.2. The Provider may discontinue the Service or any of its functions by giving at least 60 days’ notice by email. In that case, the User may terminate the contract with immediate effect, and the Provider refunds any fee already paid for the period after termination. The Service may be restricted with immediate effect for security reasons, to comply with a legal obligation or in the event of a material breach of contract by the User; the Provider gives notice of this without delay.

12.3. The Service does not constitute legal or tax advice; automatically generated answers do not constitute advice.

13. Confidentiality

13.1. The Parties undertake to keep confidential all facts, data and compilations relating to the operations of the other Party that come to their knowledge in the course of the legal relationship, the unauthorised acquisition or disclosure of which would harm the economic interests of the entitled Party.

13.2. The confidentiality obligation survives the termination of these Terms and conditions without time limit.

13.3. An exception applies where the law or an authority requires the disclosure of data; in such case the Parties inform each other without delay.

14. Intellectual property

14.1. The SmartAIAssist application and all of its elements are software of the Provider protected by copyright. The User receives a right of use for the term of the contract.

14.2. The User may not modify, reverse engineer or transfer the software to a third party, nor use it beyond the scope permitted in the contract.

14.3. The User remains the holder of rights in its own knowledge base and data; the Provider does not use them beyond the scope necessary to provide the service.

15. Liability

15.1. The Provider warrants that the software is free of malicious code, but no security system is impenetrable.

15.2. The Provider is not liable for unavailability caused by a failure of the internet connection, of the User’s hardware or of a third party’s server.

15.3. Claims against the Provider become time-barred within 1 year from the occurrence of the event giving rise to the damage.

15.4. The limitation of liability does not apply to intentional breach of contract, or to breach of contract causing harm to human life, physical integrity or health (Section 6:152 of the Hungarian Civil Code, Ptk.).

15.5. Except in the cases set out in clause 15.4, the Provider’s liability for damage caused by breach of contract is limited to the fees actually paid by the User in the 12 months preceding the event giving rise to the damage. The Provider is not liable for loss of profit or indirect damage.

15.6. The User is responsible for the lawfulness and accuracy of the content uploaded to the knowledge base. The assistant answers from the knowledge base; the Provider is not liable for answers resulting from incorrect or outdated information contained in it.

16. Communication

16.1. For communication by email, the Provider uses the address ; it can be reached by telephone at +36 30 181 2087 (Monday–Friday, 9:00–17:00 CET).

16.2. The User shall notify the Provider without delay of any change in its contact details.

17. Complaints handling

17.1. The User may submit complaints in writing to the email address .

17.2. The Provider responds to the complaint on the merits, with reasons, within 30 days of receipt.

17.3. The Parties shall primarily settle their disputes by negotiation. Failing this, the Hungarian court having subject-matter and territorial jurisdiction according to the Provider’s registered seat has exclusive jurisdiction; in cross-border relationships, this clause is based on Article 25 of Regulation (EU) No 1215/2012.

18. Miscellaneous provisions

18.1. The invalidity of any provision of these Terms and conditions shall not affect the validity of the remaining provisions.

18.2. These Terms and conditions and the service agreement constitute the entire agreement of the Parties and supersede all prior agreements.

18.3. The Provider shall communicate any amendment of these Terms and conditions to the User at least 15 days before it takes effect; in the event of an amendment to the User’s detriment, the User may terminate within 5 working days.

18.4. The legal relationship is governed by Hungarian law – in cross-border relationships, by choice of law under Article 3 of Regulation (EC) No 593/2008 (Rome I) – in particular the Hungarian Civil Code (Act V of 2013, Ptk.), and by the applicable EU regulations (GDPR, AI Act, Data Act).

18.5. The Provider has not submitted to the provisions of any code of conduct.

18.6. These Terms and conditions are drawn up in Hungarian. The English and Romanian translations are for information only; in case of any discrepancy, the Hungarian version prevails.
